TERMS OF SERVICE

We Retroperative Win Games Private Limited a Private Limited company duly incorporated under the Companies Act 2013, have the registered address at “NO 14 1ST FLOOR KAVERI NAGAR, K NARAYANAPURA, Doddagubbi, Bangalore North,Bangalore-560077,Karnataka” (hereinafter referred to as “Retrowin”, ”Company”, “we”, “our”, “us”) operates the website https://retrowin.in (“Retrowin Website”) and the Retrowin mobile application (“Retrowin App”) (hereinafter the Retrowin website and Retrowin App are together referred to as “Platform”). This Terms of Service (hereinafter referred to as “Terms of Service”) is our commitment towards your trust and we intend to facilitate Services (defined later) through our Platform. This Terms of Service lays down all the terms and conditions surrounding the usage of our Platform by You.

The act of using, registering, or perusing our Platform establishes a contractual agreement between the user and our organization, as outlined in our Terms of Service and other pertinent policies associated with our Platform. This agreement serves all contractual, legal, and compliance purposes. The present Terms of Service hold legal validity and are regarded as an electronic record under the Information Technology Act, 2000 and its relevant regulations, as well as the revised provisions concerning electronic records in several statutes, as amended by the Information Technology Act, 2000. The computer system generates this electronic record, obviating the need for any physical or digital signatures.

1. Definition and Interpretation

1.1.Definition
1.1.1. “Applicable Laws” means all the legal provisions, regulations, statutes, ordinances, by-laws, and any subsequent amendments that are enforceable within the geographical boundaries of India.
1.1.2. “Content” means all the textual material, advertisements, graphics, User interfaces, visual interfaces, photographs, trademarks, logos, brand names, descriptions, sounds, music, and artwork.
1.1.3. “Third Parties” means all the legal entities, whether individual or corporate, that are associated with the Platform, with the exception of the Users and the Platform's owners.
1.1.4. “Services” means all the provisions offered to the User through the Platform.
1.1.5. “Account Balance” means the section of the Account that enables Users to deposit the Cash and utilize the Cash on the platform to play Cash games.
1.1.6. “One-on-one and 2-Seat Tournaments” refers to User-on-User, one-on-one, Tournament, tournaments, 2-seat, 2 participant, 2-Seat Tournament typing competition cash games."
1.1.7. User- refers to individuals who opt for playing games on the Platform. No User shall be from the Restricted States or use the Services while they are in Restricted States or through a system situated in Restricted State and must be 18 years of age or older.
1.1.8. Restricted States – Andhra Pradesh, Arunachal Pradesh, Assam, Meghalaya, Nagaland, Odisha, Sikkim and Telangana.

1.2.Interpretation
1.2.1. Retroperative Win Games Private Limited– for the purposes of this Terms of Service, wherever the context so requires, “Retrowin”, “Company”, “We”, “Our”, and “Us” shall mean and refer to the Retroperative Win Games Private Limited and its owned Platform.
1.2.2. User- for the purposes of this Terms of Service, wherever the context so requires, “You”, “Your”, “Yourself”, “User” and “Users”, shall mean and refer to natural and legal individuals who shall be users of this Platform provided by Us and who is competent to enter into binding contracts, as per law.
1.2.3. The headings of each section in these Terms of Service are only for the purpose of organizing the various provisions under these Terms of Service in an orderly manner and shall not be used by you to interpret the provisions contained herein in a manner as may apply to you. Further, it is specifically agreed by you that the headings shall not have legal or contractual value on your usage of the Platform.
1.2.4. The Parties shall refer and mean the Company and User together, for the purpose of interpretation of terms of this Terms of Service.
1.2.5. The use of this Platform is solely governed by these Terms of Service, Privacy Policy, and any other relevant policies as updated on the Platform and any modifications or amendments made thereto by us from time to time, at our sole discretion. If you as a User continue to access and use this Platform, you are agreeing to comply with and be bound by the following Terms of Service, Privacy Policy, Refund and Cancellations Policy and any other applicable policies, thereof.
1.2.6. You unequivocally agree that these Terms of Service, Privacy Policy, Refund and Cancellations Policy and any other applicable policies, constitute a legally binding agreement between us and that you shall be subject to the rules, guidelines, policies, terms, and conditions applicable to your use of the Platform, and that the same shall be deemed to be incorporated into these Terms of Service and shall be treated as part and parcel of the same. You acknowledge and agree that no signature or express act is required to make these Terms of Service, Privacy Policy and the Refund and Cancellations Policy binding on you and that your act of visiting/browsing any part of the Platform constitutes your full and final acceptance of these Terms of Service, Privacy Policy, the Refund and Cancellations Policy and any other applicable policies.
1.2.7. We reserve the sole and exclusive right to amend or modify these Terms of Service without any prior permission or intimation to you, and you expressly agree that any such amendments or modifications shall come into effect immediately. If you do not adhere to the changes, you must stop using the Platform at once. Your continued use of the Platform will signify your acceptance of the changed Terms of Service.

2. Platform Overview

3. Services on the Platform

The Platform provides skill-based typing competition games 24/7, user-on-user (one-on-one) and tournaments (2-seat), wherein the participants shall be charged a standard platform fee and the remaining amount shall to organize the events.

4. Compliance

This Terms of Service is made in accordance with the provisions of the Information and Technology Act, 2000 and the rules therein along with the amendment from time to time. This Terms of Service is published on the Platform in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 and Rule 4 of the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 of Information Technology Act, 2000amended through Information Technology Amendment Act, 2008 that require publishing the Terms of Service and practices for access and usage of any functional Platform.

5. Registration

Registration on the Platform is mandatory for Users to access its features and services. To proceed, you will need to create an Account and complete the registration process by providing a valid phone number or such other information as may be required. As part of the registration, you must verify your mobile number in order to participate in any Contests available on the Platform. This verification process is implemented to protect against any fraudulent activity. All personal information provided will be kept confidential and handled in accordance with our Privacy Policy.
Once your registration is complete, a username will be automatically assigned to you.
You confirm that all information you provide to Retrowin, whether at the time of registration or subsequently upon request is true, complete, and accurate and you agree to promptly update your User Details and any other relevant information on the platform as necessary. We are not obligated to verify or cross-check the information you provide, and we disclaim responsibility for any consequences arising from inaccuracies or omissions in the information you submit.

5.1. Agreement to Terms:
5.1.1. You agree to abide by all the rules, procedures, and policies outlined on the Platform. When you use our services, you are obligated to follow these terms of service.
5.1.2. By using our services, you agree to our terms of service, privacy policy, refund and cancellations policy and other applicable policies.

5.2. Additional Information:
5.2.1. You may need to provide your details for KYC verification at the time of cash Deposit to play cash games, and PAN card, and bank account details to withdraw cash.
5.2.2. Additionally, we may collect or share further details such as your mobile number, bank account details, and KYC details with our third-party service providers for tasks like document verification, mobile number verification (via SMS/OTP), and payment processing. This is necessary to grant users full access to our platform and its services.

5.3. KYC Process/Verification: You acknowledge that the withdrawals you initiate are subject to the following terms and conditions for the "KYC Process":
5.3.1. You might need to provide your details for KYC verification at the time of adding cash i.e. deposit, and PAN card, and bank account details to withdraw money.
5.3.2. Withdrawal requests will be processed after the user's KYC verification is successful.
5.3.3. Retrowin reserves the right to request KYC documents for address and identity verification at any point. Withdrawals will only be authorized from accounts that have completed the KYC process.
5.3.4. To facilitate withdrawals from your Retrowin account to your bank account, it is mandatory to undergo KYC verification as proof of identity. This verification process can be completed on the platform by submitting certain details including:
5.3.4.1.Officially issued government identity documents for KYC verification.
5.3.4.2.PAN Card
5.3.4.3.Bank Account Details

5.4. Additional Notes:
5.4.1. The PAN Card, bank account, and KYC documents of the user seeking withdrawal must undergo verification and must be verified.
5.4.2. You must upload or enter the officially issued government identity documents details for e-KYC on our Platform, as we don't accept submissions in any other form or manner.
5.4.3. The resident state should not be one of the following restricted states: Andhra Pradesh, Arunachal Pradesh, Assam, Meghalaya, Nagaland, Odisha, Sikkim and Telangana.
5.4.4. The user must be 18 years of age or older.
5.4.5. Ensure the active status of your bank account; otherwise, withdrawal processing will not be possible.
5.4.6. Additionally, users must confirm that their bank account is not affiliated with the states of Andhra Pradesh, Arunachal Pradesh, Assam, Meghalaya, Nagaland, Odisha, Sikkim and Telangana i.e. cash Withdrawals cannot be made by you to the bank accounts that is located in a Restricted Territory.
5.4.7. When withdrawing funds to a bank account, it is essential to verify that the name on your KYC documents corresponds to the name of the bank account holder for withdrawing winnings. If there is a discrepancy between the names, the transaction will be deemed invalid. In such a scenario, please attempt to re-enter your bank account details, ensuring that the name aligns with the information on your KYC documents.

6. Operations

6.1.The Company retains the prerogative to alter, suspend, or discontinue the Application or any of its components, including features and functionalities, without prior notification, at any given time.
6.2.In the circumstance of any alteration, cessation, or conclusion, the aforementioned Termination and Refund and Cancellations Policy Clause shall persist in its applicability.

6.3. Deposit in the User Account Balance: Deposit Process:
6.3.1. Once a user registers with Retrowin, a Retrowin Account Balance is used to track all transactions. Game payments must be made through the user's Retrowin Account Balance. All deposits and winnings are credited to this Account Balance.
6.3.2. Users add funds i.e. deposits via payment gateway and winnings are credited to Users Retrowin Account Balance.
6.3.3. To participate in a paid Contest, contestants need to pay a pre-determined entry fee, which becomes part of the prize money for the Contest.

6.3.4. Account Balance Balances: Deposit Balance: This is where all the money you add via payment gateway i.e. deposit is credited after the deduction of applicable goods and services taxes (“GST”) in accordance with Applicable Laws for the purpose of participation in Cash Games on the platform.
6.3.5. Winning Balance: The sum of your winnings from the two formats of games (one-on-one, and tournaments), eligible for withdrawal. This balance encompasses entry fees, winnings from games and has already been adjusted for platform fees.
6.3.6. Total Account Balance: It is the total amount shown on the first screen, calculated as the sum of Deposit and Winning Balance. You can use this total amount to play cash games.
6.3.7. Note: You are not allowed to directly withdraw the cash from the deposit balance, but you can use it to play the cash games on the Retrowin and then, can withdraw the cash from the winning balance. TDS will be deducted on net winnings following the Applicable laws. Retrowin doesn't allow transferring funds directly from your deposit balance to your winning balance under any circumstances.
6.3.8. You're not allowed to transfer money from your Account Balance to another user's Account Balance. This means you cannot send money from your Retrowin account to another user's Retrowin account.

6.4. Transaction Limits and Currency:
6.4.1. You can add a minimum of ₹10 and a maximum of ₹10,000 in a single transaction.
6.4.2. All transactions must be in Indian Rupee (INR). We do not accept deposits in any other currency.

6.5. Payment Instrument/Modes:
6.5.1. You confirm that the payment instrument/mode used belongs to you.
6.5.2. You must use your own payment instrument/mode when adding money to your Retrowin account on the Platform.
6.5.3. Using someone else's payment details is strictly prohibited. Any suspicious or unauthorized activity is strictly prohibited.
6.6. Third-Party Payment Gateways: Payments made with credit cards, debit cards, UPI, UPI ID, and Bank account details go through third-party payment gateways. Retrowin is not responsible for delays or issues with payments processors end.

6.7. Deposit Issues: If you encounter problems when adding cash to your Retrowin account, contact us for support. Retrowin is not liable for delays or declines due to factors beyond our control. Deposited money does not earn interest and can only be used to participate in contests.
6.8. Withdrawals from the User Account Balance: Withdrawal Process:
6.8.1. Withdrawal requests are processed after successful KYC verification. Please note that the name on the bank account must match the name on the KYC.
6.8.2. Withdrawals can only be made from the winning balance, not from the deposit balance.
6.8.3. Minimum withdrawal amount is ₹100 from the winning balance, up to a maximum of ₹10,000 in a single transaction.
6.8.4. All withdrawal requests placed are subject to TDS deductions under government rules.
6.8.5. You can withdraw minimum ₹100 up to a minimum ₹10,000/- in a single transaction. You can make multiple withdrawals/transactions 24/7 i.e., there is no limit to withdraw the cash to your bank account and it is a instant Cash withdrawal via IMPS (Immediate Payment Service).
6.8.6. All the withdrawals requests are processed immediately after a withdrawal request is made, with our payment partner. However, in some cases a delay might occur on the end of user’s bank. In such a case, the withdrawal could be processed later or possibly reversed. And may take up to 3 working days to know the final status of the transaction.
6.9. Bank Details and Withdrawal Methods:
6.9.1. You can withdraw funds from your winning balance to your bank account via electronic transfer only.
6.9.2. When requesting a withdrawal, provide your own bank account details where the winnings amount will be transferred.
6.10. Fees and Taxes: Withdrawals are free of charge. However, withdrawals may be subject to applicable taxes. Retrowin reserves the right to share necessary winnings information with authorities and deduct applicable taxes as per legal requirements.

6.11. Services Offered: Retrowin offers skill-based typing competitions games 24/7, user-on-user (one-on-one) and tournaments (2-seat), wherein the participants shall be charged a standard platform fee and the remaining amount shall to organize the events.
6.12. Cash Contests Offered: Retrowin provides two formats of cash game contests: One-On-One (User on User) typing competitions (1 to 30 numbers and 1 to 50 numbers) and Tournaments (2-Seat) typing competitions (1 to 30 numbers).
6.13. Receipts and Entry Records: Retrowin does not issue receipts for contest entries. Entries are recorded within the platform's account system. Users are responsible for ensuring their entries and winnings are accurately recorded.

7. Eligibility

7.1. Our Platform and contests are meant only for persons aged 18 or above. you must be at least 18 years of age or older with valid identification documents issued by Government of India and competent to enter into a contract. If you are under 18 years of age, you are not permitted to use our Platform. We will carry out user age and geo verification. The platform shall not be used, installed, or played by any Person under the age of 18 years.
7.2. You may use the Services only if you reside in India and we offer our services in Indian territories that do not fall under restricted states. Our services is not permissible or offered to Persons residing in the state of Andhra Pradesh, Arunachal Pradesh, Assam, Meghalaya, Nagaland, Odisha, Sikkim and Telangana (“Restricted States”), and outside India are prohibited from participating in any contests on the platform. Our platform and Services are not available in Restricted States, including for individuals who are merely visiting such states, regardless of their place of birth or residence. Individuals who access our Services while in a Restricted State may face penalties imposed by the respective State Government or the Central Government of India.
7.3 You further represent that you will comply with these Terms of Service and all applicable local, state, national, and international laws, rules, and regulations.
7.4 You confirm that you are not a resident of any of the Restricted States and agree not to provide any false disclosures, declarations, or representations in an attempt to bypass the applicable laws and regulations of India ("Applicable Law") governing these Restricted States in order to participate in any Paid Contests.

8. Game Rules

8.1. Platform fee/Service charges and Prize amount: Retrowin shall charge a 15% (fifteen percent) as a platform fee on the total funds received for any Contest (one-on-one and tournaments) and the remaining amount will be the prize amount which will be shown on the contest screen. Winners receive prize money to their winning balance.
Game Rules and How winner is decided: You must follow the rules of each format of the game on the platform (one-on-one and tournaments). Make sure you read and understand these rules, which can be found on the platform's "Game rules” tab as well. We have the authority to determine game results and winners based on these rules, and these decisions cannot be challenged. By participating, you agree to these rules and outcomes.

8.2. Retrowin offers two formats of cash game contests: one-on-one and tournaments, with one winner in each contest.

8.3. One-On-One Contests: 1 to 30 and 1 to 50 numbers typing competition games: Players has to select the game to play (1 to 30 or 1 to 50 numbers) and has to fill the numbers vertically in the boxes, the winner will be decided based on the fewer finishing time. Player who fills all the boxes correctly and submits the game first (Taps on next) i.e. before the opponent will be the winner of the contest. Also, once all the boxes are filled vertically and if the cursor is in any box, if you Tap on next i.e. submit, the game will end and the winner will be declared.
In case both the players have not submitted the game and are on the typing screen (after filling all the boxes, or if they haven’t entered any numbers, or have entered less numbers than required) game will automatically conclude at a 2-minute duration. The system will declare the winner comparing with the opponent result automatically. Player who has typed more numbers with less mistakes than the opponent or no mistakes will be declared as the winner of the game.
In case of draw: one-on-one contests: Entry fee will be refunded back into your Retrowin Account Balance i.e. from where it was deducted, within 30 minutes after the completion of the game.

8.4. Tournament contests: 1 to 30 numbers typing competition games: Players has to fill 1 to 30 numbers vertically in the boxes, the winner will be decided based on the fewer finishing time. Player who fills all the boxes correctly and submits the game first (Taps on next) i.e. before the opponent will be the winner of the contest. Also, once all the boxes are filled vertically and if the cursor is in any box, if you Tap on next i.e. submit, the game will end and the winner will be declared.
In case both the players have not submitted the game and are on the typing screen (after filling all the boxes, or if they haven’t entered any numbers, or have entered less numbers than required) game will automatically conclude at a 2-minute duration. 8.5. Additional Game rules:

You may need to completely erase number or numbers in some cases and retype them if there is a mistake in any box.

For example:

In the box where you should type 8, if you type 9, you need to erase the 9 and then type 8.
In the box where you should type 8, if you type 08, you need to erase the entire number and then type 8.
In the box where you should type 8, if you type 81, you can just erase the 1.
In the box where you should type 18, if you type 19, you can just erase the 9 and type 8, making it 18.
In the box where you should type 18, if you type 28, you need to erase 28 and type 18.

8.6. Entry Fee and Platform Fee:
One-On-One:

Platform fee: Fixed 15% (fifteen percent) of the total funds received for any Contest.

Entry fee: ₹10, ₹20, ₹30, ₹50, ₹100, ₹250, ₹500, ₹750, ₹1000 | Seat: 2

Tournament:

Platform fee: Fixed 15% (fifteen percent) of the total funds received for any Contest.

Entry fee: ₹100, ₹200, ₹300, ₹400, ₹500, ₹1000, ₹2000 | Seat: 2

8.7. Do not close the game while playing one-on-one and tournaments.

8.7.1. The Retrowin competition is a real time game, so make sure you have a good internet connection. If your internet goes off (manually or automatically) or slows down, a dialog box with a "RETRY" button will appear on the typing screen. You won’t be able to type until the internet speed is back. Once your internet is back, tap "RETRY" to close the box and continue typing. If your internet speed/connection is bad the system doesn't save your inputs in the database, the boxes you filled in may appear blank when you click "Next" to submit. You will need to re-enter the missing numbers and submit it again. The system checks this automatically. It is purely an automated check. We are using automatic internet speed check socket to check the internet speed. Since the games are played in real time and last only 2 minutes, please make sure you have a stable and good internet connection. Please do not play the games on Retrowin if you do not have a good internet connection.
You understand and agree that if there's any disagreement about who wins or how prizes are given out, the Company's decision is final and binding on you as rules are clearly mentioned.

8.8. Contact Us:

8.9. Responsible Gaming Guidelines:
8.9.1. At Retrowin, we prioritize responsible gaming: Players are encouraged to play for entertainment and not rely on gaming as a source of income. Take breaks if facing consecutive losses; both winning and losing are integral parts of the game. Avoid chasing losses; maintain balance between gaming and daily responsibilities. A monthly cash deposit limit is set on the platform to discourage irresponsible gaming and prevent players from making deposits beyond reasonable mean. Refrain from playing when not in the right state of mind. This game involves an element of financial risk and may be addictive. Please play responsibly and at your own risk.
8.10. Compliance and Safety Measures:
8.10.1. Retrowin strictly adheres to rules, regulations, and guidelines set by the Government of India for the real-money gaming sector. Registration and gameplay are only for individuals aged 18 years and above. Strict KYC checks are in place to verify age and prevent underage participation.

8.10.2. Tax Policy:
8.10.2.1. In compliance with the Central Goods and Services Tax Act, 2017 (CGST) and Integrated Goods and Services Tax Act, 2017 (IGST), all deposits made by users are subject to a 28% GST rate effective from October 1, 2023. This GST amount is non-refundable and is remitted to the government treasury. Retrowin reserves the right to modify the GST policy, limits, and rates in accordance with applicable laws. Deposited money does not accrue interest.

8.10.2.2. Regarding tax deductions on net winnings, as per the Finance Act 2023 and Section 194BA of the Income Tax Act, 1961, Retrowin is mandated to deduct a 30% tax on net winnings at the time of withdrawal or at the end of the financial year, effective April 1, 2023. Net winnings are calculated as the total amount received above the total deposits made during the financial year (Net Winnings = Withdrawals − Deposits − FY Opening Balance). Withdrawal requests require PAN verification, and withdrawals are processed only upon successful KYC and withdrawal verification and transferring funds via online transfer. Retrowin deducts TDS on positive winnings if PAN details are not provided by the end of the financial year, remitting it to the government without refunds during annual tax returns. Users are responsible for providing accurate PAN details for TDS compliance and potential refunds. Retrowin does not offer tax advice or assume responsibility for users' individual tax matters. Users must ensure their PAN is valid and linked with Aadhaar as per Income Tax laws, as Retrowin will not provide TDS certificates for users with an inoperative PAN. The TDS Policy is subject to change based on updates to applicable laws, and Retrowin reserves the right to modify or amend these terms accordingly. TDS deduction is to be made either during the withdrawal process, with the remaining amount credited to the bank account, or on 31st March (end of the financial year), starting from 1st April 2023.

9. Content

9.1.All the Content displayed on the Platform is subject to copyright and shall not be reused by You (or a Third-Party) without prior written consent from the Company and the copyright owner.
9.2.You are solely responsible for the integrity, authenticity, quality, and/or genuineness of the Content provided by you on the Platform and whilst feedback and comments by You can be made via the Platform, we bear no liability whatsoever for any feedback or comments made by the other Users or made in respect of any of the Content on the Platform. Further, the Company reserves its right to suspend the account of any User for an indefinite period to be decided at the discretion of the Company or to terminate the account of any User who is found to have created or shared or submitted any Content or part thereof that is found to be untrue/ inaccurate/ misleading/ offensive/ vulgar. You shall be solely responsible for making good any financial or legal losses incurred through the creation/ sharing/ submission of Content or part thereof that is deemed to be untrue/ inaccurate/ misleading/ offensive/ vulgar.
9.3.You have a personal, non-exclusive, non-transferable, revocable, limited privilege to access the Content on the Platform. You shall not copy, adapt, or modify any Content without written permission from the Company.

10. Indemnity

The User consents to indemnify while preserving Us, along with our directors, officers, employees, and agents (collectively referred to as "Parties"), from any losses, liabilities, claims, damages, demands, costs, and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) that may be asserted against or incurred by Us due to a breach or non-performance of any representation, warranty, covenant, or agreement made or obligation to be performed by the User according to these Terms of Service. Moreover, you consent to indemnify the Company from any allegations brought forth by any external party as a result of, or in relation to, the following:
10.1. The manner in which you utilise the Platform;
10.2. Your breach of the provisions outlined in these Terms of Service;
10.3. Your infringement upon the rights of other Parties, Users, and/or Third-Party entities;
10.4. Your purported inappropriate behaviour in accordance with these Terms of Service; and
10.5. Your actions in relation to the Platform.
The User consents to provide complete cooperation in the process of indemnifying the Company, bearing the expenses themselves. It is also expected that you will refrain from reaching a settlement with any other party involved in the matter without obtaining prior consent from the Company.
The Company shall not be held responsible for compensating the User or any third party for any damages, including but not limited to loss of profits, data, or use, that may result from the use of the Platform's services or materials. This includes damages that may be considered special, incidental, indirect, consequential, or punitive, regardless of whether they were foreseeable or whether the User had been advised of the possibility of such damages. The Company cannot be held liable based on any theory of liability, including breach of contract or warranty, negligence, or other tortuous action, or any other claim arising from the user's use of or access to the Platform's services or materials.

11. Limitation of Liability

We shall not be deemed responsible for any possible damages, whether direct or indirect, that may arise from the use of the services. Such damages may include any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, data, or other intangible losses, resulting from:
11.1. the ability or inability to use the Platform or services;
11.2. unauthorised access or alteration of user data;
11.3. the conduct or content of third parties on the Platform;
11.4. errors or omissions in the Platform's content;
11.5. interruptions or cessation of transmission to or from the Platform;
11.6. transmission of harmful code such as bugs, viruses, Trojan horses, or other malware.
The limitation of liability is a legal provision that restricts the amount of damages that a party can be held liable for in the event of a breach of contract or other legal claims.

12. Breach and Consequences

"If we have evidence, either through our investigations or reasonable belief, that you have breached our Terms of Service and/or that your continued access to our Platform is detrimental to the interests of Retrowin, our users, or the general public, we reserve the right to take any or all of the following actions at our sole discretion:
Permanently suspend your account on our Platform.
Demand and pursue damages for the breach of Retrowin's Terms of Service, including taking necessary civil actions for recovery.
Initiate legal proceedings for damages and violations equivalent to offenses under the law.
Restrict access to our games for users suspected of cheating or collusion.
Prohibit you from registering or participating in games on Retrowin in the future, as we reserve the right to restrict your access to our typing competition games.
Any action we take will be based solely on your breach of our Terms of Service and will be final and binding upon you. These actions are without prejudice to any other rights or remedies available to us under law or equity.

13. Grievance Redressal Mechanism:

14. User obligations and formal undertakings to conduct

You agree and acknowledge that you are a restricted user of this Platform and you:

14.2. agree that you are solely responsible for maintaining the confidentiality of your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to close your account at any time for any or no reason;

14.3. understand and acknowledge that the data submitted is manually entered into the database of the Platform. You also acknowledge the fact that data so entered into the database is for easy and ready reference for you, and to streamline the services through the Platform;
14.4. authorize the Platform to use, store, or otherwise process certain personal information and all published Content, responses, locations, User comments, reviews and ratings for personalization of service, marketing and promotional purposes, and for optimisation of User-related options and service;

Your registration on our Platform is limited to a single user account, hereinafter referred to as 'Account.' You are prohibited from sharing your account with others or accessing our services through another person’s account. If you attempt to open more than one account or use the service through someone else's account, we reserve the right to close all of your accounts and immediately restrict your access to our products, services, and games.
Additionally, you may not create a login name or password, nor upload, distribute, transmit, publish, or post content through the platform or any service provided on the Portal.

Account Password and Security

The sharing or distribution of passwords with any other user, individual, group, or third party is strictly prohibited. Users must promptly notify Retrowin of any unauthorized use of their passwords or accounts, or any security breaches. Furthermore, you may not purchase, sell, trade, rent, lease, license, grant a security interest in, or transfer your user account, any content, currency, standings, or any other attributes associated with Retrowin or its services.

15. Suspension of User access and activity

Notwithstanding other legal remedies that may be available, we may in our sole discretion, your access and/or activity by immediately removing your access credentials either temporarily or indefinitely, or suspend/terminate your association with the Platform, and/or refusing to the usage of the Platform, without being required to provide you with notice or cause:
15.1. if you are in breach of any of these Terms of Service, Privacy Policy, or any other applicable policies;
15.2. if you have provided wrong, inaccurate, incomplete or incorrect information; and

16. Intellectual Property Rights

Unless expressly agreed to in writing, nothing contained herein shall give you a right to use any of the trade names, trademarks, service marks, logos, domain names, information, questions, answers, solutions, reports, and other distinctive brand features, save according to the provisions of these Terms of Service that shall be available on the Platform. All logos, trademarks, brand names, service marks, domain names, including material, designs, and graphics created by and developed by either the Platform or such other Third-Party and other distinctive brand features of the Platform are the property of the Platform or the respective copyright or trademark owner. Furthermore, concerning the Platform, we shall be the exclusive owner of all the designs, graphics and the like, related to the Platform.
You shall not use any of the Intellectual Property displayed on the Platform in any manner that is likely to cause confusion among existing or prospective users of the Platform, or that in any manner disparages or discredits the Platform, to be determined in the sole discretion.
You are aware all Intellectual Property, including but not limited to copyrights, relating to said Products and Services resides with the owners, and that at no point does any such Intellectual Property stand transferred from the creators.
You are further aware that any reproduction or infringement of the Intellectual Property of the owners by you will result in legal action being initiated against you by the respective owners of the Intellectual Property so reproduced/infringed upon. 17. Disclaimer of Warranties and Liabilities

17.3. We do not guarantee that the features and content contained in the Platform will be uninterrupted or error-free, or that the Platform or its server will be free of viruses or other harmful components, and you hereby expressly accept any associated risks involved with your use of the Platform.

18. FORCE MAJEURE

We will not be liable for damages for any delay or failure to perform our obligations hereunder if such delay or failure is due to cause beyond our control or without its fault or negligence, due to force majeure events including but not limited to acts of war, acts of God, earthquake, riot, fire, festive activities sabotage, labour shortage or dispute, internet interruption, technical failure, breakage of sea cable, hacking, piracy, cheating, illegal or unauthorized.

19. GOVERNING LAW, DISPUTE RESOLUTION AND JURISDICTION

In the event of any dispute arising out of or in connection with this Terms of Service, including any dispute relating to the validity of this Terms of Service, the Parties shall, at first instance, attempt to resolve the dispute by mediation administered by the Centre for Online Resolution of Disputes (“CORD”) (www.resolveoncord.com) and conducted in accordance with the CORD Rules of Mediation, by a sole mediator to be appointed by CORD.
In the event the Parties are unable to resolve any such dispute through mediation within 45 days of the initiation of the dispute, subject to a contrary agreement between the Parties, the dispute shall be finally resolved by arbitration administered by CORD and conducted in accordance with the Rules of Arbitration of CORD, by a sole arbitrator to be appointed by CORD. The language of arbitration shall be English. The seat of arbitration shall be Bengaluru, Karnataka, India.
You expressly agree that the Terms of Service, Privacy Policy and any other agreements entered into between the Parties are governed by the laws, rules, and regulations of India.

20. MISCELLANEOUS PROVISIONS

20.1. Entire Agreement: These Terms of Service, read with the Privacy Policy and Refund and Cancellations Policy form the complete and final contract between us with respect to the subject matter hereof and supersedes all other communications, representations, and agreements (whether oral, written, or otherwise) relating thereto.
20.2. Waiver: The failure at any time to require the performance of any provision of these Terms of Service shall in no manner affect our right at a later time to enforce the same. No waiver by us of any breach of these Terms of Service, whether by conduct or otherwise, in any one or more instances, shall be deemed to be or construed as a further or continuing waiver of any such breach, or a waiver of any other breach of these Terms of Service.

If we find that the display name you picked is inappropriate or offensive, we'll let you know and ask you to pick a different one. If you don't choose a new display name, we might suspend your account permanently or only reactivate it once you've picked a more suitable display name. Retrowin might need to inform users about specific events as required by certain laws. Users agree that such notifications will be considered effective when Retrowin posts them on the Platform or sends them to the user's email address or mobile number (Via SMS) provided during registration. If users don't provide accurate information, Retrowin isn't responsible if they don't receive notifications.

21. Refund and Cancellations:

If the amount is unutilized, the refund of deposit will be processed within 18 calendar days to the original payment method used for the transaction; no alternate methods will be accepted. Please note that application 28% GST paid on the amount deposited will be remitted to the appropriate authorities as per Applicable laws, and the GST amount paid will not be refunded under any circumstances.

Cancellation of Account:

In case you wish to cancel your subscription with Retrowin, you need to send us an email at customerservice@retrowin.in. Retrowin will then refund your entire positive Account Balance to you by electronic transfer, deducting the applicable levy and taxes (if any). The refund will be made within 7 calendar days. As you are cancelling your account with us, we'll have to deactivate the same to prevent you from participating in any of our contests. If you however would like to become a member with us again in future, feel free to contact us.

Service Disruption:

Retrowin is not responsible for any loss resulting from the cancellation of any games due to service outages caused by the failures of our service providers, computer viruses, natural disasters or any other reason that is beyond our control. You acknowledge that you will not be entitled to any refund due to the cancellation of games caused by factors that are beyond the reasonable control of Retrowin.

Voluntary Account Termination:

If you wish to voluntarily discontinue the use of the services provided to you by Retrowin, you need to send us an email at customerservice@retrowin.in, including your reason or intention for discontinuing the service. Retrowin will terminate your account and refund your entire positive Account Balance to you via electronic transfer, after deducting the applicable levy and taxes (if any). The refund will be processed within 18 calendar days. Please note that any account actions you take after emailing your request for terminating your account, including but not limited to playing cash games, tournaments, depositing and withdrawing the money, will be deemed as actions taken solely by you and Retrowin shall not be responsible for your actions.

Where any Service requested by you involves a Third Party, such information as is reasonably necessary by the Company to carry out your Service request may be shared with such Third- Party. We may collect or share details such as your mobile number, bank account details, and KYC details with our third-party service providers for tasks like document verification, mobile number verification (via SMS/OTP), and payment processing. This is necessary to grant users full access to our platform and its services.

Certain information is automatically collected and stored, the exact time and date to you last accessed the application, Geolocation Data when you access our services through device, including IP address, to restrict access and registration from states where real-money gaming is regulated or prohibited. USER’S CONSENT

ACCOUNT DELETION

You can request to delete your Retrowin account at any point of time by sending an email to escalations@retrowin.in. If you choose to permanently delete your account, you will lose access to the Retrowin account and all the services, including all your user data and personal information. Once we receive and confirm your deletion request, your account and personal data will be removed from our records.

Please note that we may be required to retain certain personal data, even after account deletion in order to comply with applicable laws, legal requirements, regulatory requirements, law enforcement requests or judicial proceedings; fraud prevention, or other necessary purposes.
